Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the erabot.ai platform and services (the “Service”), operated by Rohan Shah trading as erabot.ai (“we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not access or use the Service.

1. Acceptance of Terms

By creating an account, accessing, or using the Service, you confirm that:

• You are at least 16 years of age
• You have the legal capacity to enter into a binding agreement
• You accept these Terms and our Privacy Policy
• If using the Service on behalf of an organization, you have authority to bind that organization to these Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated with at least 30 days' notice.

2. Description of Service

erabot.ai is an AI code cost analysis and optimization platform. The Service operates as a freemium SaaS (Software as a Service) product that:

• Scans codebases (via paste, file upload, GitHub repository connection, or CLI tool) to detect AI/LLM API usage patterns
• Analyzes token usage and calculates estimated costs across multiple AI providers
• Generates optimization recommendations, cost savings projections, and actionable code improvements
• Produces downloadable reports in PDF and Markdown formats
• Generates auto-fix code diffs that can be applied programmatically

3. Account Registration

3.1 Account Creation

To use the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access to your account

3.2 One Account Per Person

Each individual may maintain only one account. Creating multiple accounts to circumvent usage limits is prohibited and grounds for immediate termination.

3.3 Account Security

You are responsible for all activities that occur under your account. We are not liable for any loss or damage arising from your failure to maintain account security.

4. Free and Paid Tiers

4.1 Free Tier

The free tier includes:

• Up to 3 scans per month
• Summary-only findings (top issues, estimated savings range)
• Basic scan report

The free tier does not include full detailed reports, auto-fix code diffs, Markdown export, PDF export, or GitHub repository integration.

4.2 Paid Tiers

4.3 Billing

• All payments are processed by Stripe
• Subscriptions are billed at the start of each billing cycle
• Auto-renewal: Subscriptions automatically renew unless cancelled
• Payment failure: 7-day grace period, then downgrade to free tier

4.4 Cancellation

• Cancel anytime from account settings or the Stripe customer portal
• Cancellation takes effect at end of current billing cycle
• No partial refunds for the remaining period
• 14-day money-back guarantee for new paid subscriptions

5. Acceptable Use

You agree to use the Service only for lawful purposes. You shall NOT:

• Submit malicious code designed to harm our systems or other users
• Attempt to reverse engineer, decompile, or derive the source code of the Service
• Use automated tools (bots, scrapers) to access the Service without written permission
• Resell, redistribute, or sublicense access to the Service without written permission
• Circumvent usage limits, authentication, or access controls
• Submit code you do not have the legal right to analyze
• Use the Service to compete with erabot.ai or build a substantially similar product
• Interfere with or disrupt the integrity or performance of the Service

6. Intellectual Property

6.1 Your Code

You retain all intellectual property rights in any source code you submit. By submitting code, you grant erabot.ai a limited, non-exclusive, non-transferable license to process your code solely for analysis. This license terminates immediately upon scan completion. Your raw code is deleted immediately after the scan completes.

6.2 Our Service and Reports

erabot.ai retains all intellectual property rights in the Service itself, including its algorithms, user interface, and underlying technology. The findings and recommendations in generated reports are provided for your unrestricted use.

6.3 Feedback

Any feedback or suggestions you provide may be used by us without obligation to you.

7. Code Analysis Disclaimer

7.1 Reports Are Recommendations

Analysis reports, cost estimates, and optimization recommendations are provided as recommendations only, not guarantees:

• Cost estimates are projections based on current AI provider pricing. Actual costs may vary.
• Savings projections are estimates. Actual savings depend on implementation.
• Code recommendations are AI-generated suggestions that may not account for all edge cases.

7.2 User Responsibility

You are solely responsible for reviewing all recommendations, testing changes before production deployment, and backing up your code before applying auto-fix diffs.

8. Limitation of Liability

8.1 Cap on Liability

Our total aggregate liability shall not exceed the total fees paid by you in the 12 months preceding the event. For free tier users, our liability shall not exceed GBP 100.

8.2 Exclusion of Indirect Damages

To the maximum extent permitted by law, erabot.ai shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities.

8.3 Exceptions

Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.

9. Indemnification

You agree to indemnify and hold harmless erabot.ai from any claims arising from:

• Your use of the Service in violation of these Terms
• Code you submit that infringes third-party intellectual property rights
• Your implementation of recommendations generated by the Service
• Any breach of applicable law resulting from your use of the Service

10. Termination

10.1 Termination by You

You may terminate your account at any time by deleting your account or contacting support@erabot.ai.

10.2 Termination by Us

We may suspend or terminate your account for Terms violations, fraudulent activity, 12+ months inactivity (with prior notice), or legal requirements.

10.3 Effect of Termination

Upon termination, access ceases immediately. Your data is deleted per our Privacy Policy (within 30 days). Sections 6, 7, 8, 9, 11, and 12 survive termination.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

12. Dispute Resolution

12.1 Good Faith Negotiation

Disputes shall first be resolved through good faith negotiation for 30 days from written notice.

12.2 Jurisdiction

If negotiation fails, disputes shall be submitted to the exclusive jurisdiction of the courts of England and Wales.

13. General Provisions

13.1 Severability

If any provision is found invalid, the remaining provisions continue in full force.

13.2 Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, and applicable subscription terms, constitute the entire agreement.

13.3 Waiver

Failure to enforce any provision shall not constitute a waiver.

13.4 Assignment

You may not assign your rights under these Terms without our written consent.

13.5 Force Majeure

We shall not be liable for failures due to circumstances beyond our reasonable control, including natural disasters, internet outages, or third-party service failures.
